General Terms and Conditions

[tech]NEO GmbHVersion: October 2026B2B

Only the German version is legally binding. This translation is for information purposes only.

General Terms and Conditions of [tech]NEO GmbH, Kolonnenstr. 8, 10827 Berlin, Germany (hereinafter the “Provider”), for the use of allverto Cloud Systems (hereinafter “allverto”). The offer is directed exclusively at businesses and associations (B2B).

1. Scope

  1. These Terms apply to all contracts for the use of allverto between the Provider and its customers in the version valid at the time the contract is concluded.
  2. The Provider concludes contracts exclusively with entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, special funds under public law, and associations and other organisations that use allverto for their activities. Consumers within the meaning of Section 13 BGB are excluded from use. Consequently, there is no right of withdrawal for consumers.
  3. Deviating, conflicting or supplementary terms and conditions of the customer shall not become part of the contract unless the Provider expressly agrees to their validity in text form. This also applies if the Provider performs services without reservation in the knowledge of such terms.

2. Subject matter of the contract

  1. The Provider makes the allverto software available to the customer as a service via the internet (software as a service). Depending on the plan, allverto includes in particular the management of items, customers, orders and documents, warehouse and shipping, purchasing, payment reconciliation, point of sale, and interfaces to online shops, marketplaces, shipping carriers and banks. The current range of functions is set out in the service description at allverto.cloud/funktionen and in the documentation.
  2. For the term of the contract, the customer receives the non-exclusive, non-transferable right to use allverto within the scope of its plan for its own business purposes and those of its companies. Provision of the software for installation, provision of the source code, or passing on use to third parties other than the invited users is neither owed nor permitted.
  3. The Provider makes additional programs such as the print agent or bridges for POS and card terminals available for download. These Terms apply to them accordingly.
  4. The Provider may use third parties to provide its services, in particular for data centres and hosting. Section 14 applies to the processing of personal data.
  5. Legal, tax or accounting advice, set-up at the customer’s premises and the connection of services commissioned by the customer itself are not owed. The customer remains responsible for the correctness of its tax settings, documents and reports.

3. Registration, verification and conclusion of contract

  1. The presentation of allverto on the website does not constitute a binding offer. By submitting the registration, the customer makes an offer to conclude a contract of use and confirms that it has read these Terms and is acting as a business or association.
  2. During registration, the customer provides proof of its commercial activity or of its association (e.g. trade licence, extract from the commercial register or register of associations). The Provider verifies the information and may reject the registration without giving reasons.
  3. The contract is concluded when the Provider activates the company; the customer is informed of this by email.
  4. The customer ensures that the information provided during registration and later is complete and correct and keeps it up to date, in particular the billing address and VAT identification number.

4. Free trial period

  1. After activation, the customer may test allverto free of charge for 30 days without providing payment details. During the trial period, the range of functions provided by the Provider for the trial period is available.
  2. The trial period ends automatically and free of charge. A contract subject to charges is only concluded when the customer selects a plan and a term in the application and confirms the purchase.
  3. If the customer does not purchase a plan by the end of the trial period, its data is retained and can be read but no longer changed until a plan is purchased. The Provider may delete the data of unused trial accounts after a reasonable period and after informing the customer in advance.

5. Plans, scope of services and limits

  1. allverto is offered in plans. The scope of services, included quantities (e.g. orders and users per month) and fixed limits (e.g. number of online shops, marketplaces, warehouses, items and companies) of each plan are set out in the price overview at allverto.cloud/preise in the version valid at the time the contract is concluded.
  2. If the customer exceeds the orders or users included in the plan, the additional usage is charged at the prices of its plan. Use is not blocked as a result. Point-of-sale registers are charged per register set up and per month.
  3. The customer can only extend fixed limits with a larger plan. Existing channels and data above a limit are retained when changing plans; however, new ones beyond the limit can only be created again with a suitable plan.
  4. The customer can change the plan in the application. The price valid at the time of the change applies to the new plan. Certain plans (currently “Flotte”) are only offered by individual agreement; in that case, those agreements take precedence over these Terms.

6. Prices and payment

  1. The prices in the price overview at allverto.cloud/preise at the time of purchase or plan change apply. All prices are net plus statutory VAT. No set-up fee is charged.
  2. Irrespective of the contract term, billing is always monthly. The monthly price of the plan and the add-ons for users and registers are charged in advance for the coming billing month; additional orders are charged retrospectively for the past billing month.
  3. The Provider issues invoices exclusively in electronic form and sends them by email; they are also available for download in the application. The customer agrees to waive paper invoices.
  4. Invoices are payable within 14 days of the invoice date without deduction by bank transfer to the account stated on the invoice. In the event of late payment, the Provider sends the customer a reminder and then a formal demand for payment. The statutory rules on default for businesses apply (Section 288 BGB).
  5. The customer may only offset claims that are undisputed or have been finally established by a court. The customer is only entitled to a right of retention on account of counterclaims arising from the same contractual relationship.

7. Price for associations

  1. Non-profit organisations and registered associations receive, upon proof (e.g. extract from the register of associations or tax exemption notice from the tax office), the association price shown in the price overview for the plans listed there.
  2. If the requirements cease to apply, the customer shall inform the Provider without delay. From the following billing month, the regular price of the plan then applies.

8. Contract term and termination

  1. When purchasing, the customer chooses between two terms:
    • Monthly: The contract runs for an indefinite period and can be terminated at any time with effect from the end of the current billing month.
    • Annual contract: The contract runs for twelve months at a lower monthly price, which is also paid monthly. It can be terminated up to the last day of the term with effect from the end of the term; without termination, it is extended by a further twelve months each time.
  2. A change from the monthly contract to the annual contract takes effect from the next billing month; a change from the annual contract to the monthly contract only takes effect at the end of the current annual term.
  3. Termination is made in the application under Settings → Subscription & invoices or in text form (e.g. by email to info@techneo.berlin). The Provider may terminate the contract by giving three months’ notice to the end of a month, but may terminate an annual contract no earlier than the end of the respective term.
  4. The right of both parties to terminate for good cause remains unaffected. Good cause exists for the Provider in particular if the customer is more than 30 days in default with the payment of a not insignificant amount despite a reminder, or uses allverto unlawfully or contrary to Section 11 despite a warning. In the event of serious breaches, a warning is not required.

9. Availability and maintenance

  1. The Provider operates allverto in data centres in Germany and strives for availability that is as uninterrupted as possible. A specific level of availability is only guaranteed if separately agreed in writing.
  2. allverto may be temporarily restricted or unavailable for maintenance, updates and security measures. Where possible, the Provider schedules planned maintenance during periods of low usage and announces longer interruptions in advance. Urgent security measures may also be carried out without notice.
  3. The Provider is not responsible for disruptions outside its sphere of influence, in particular of the internet, the customer’s devices and networks, and third-party services that the customer connects via interfaces (see Section 12).
  4. The Provider backs up the data regularly. This does not affect the customer’s obligation to back up data that is important to it at reasonable intervals itself using the export functions, insofar as it needs such data to fulfil its own retention obligations.

10. Further development of the services

  1. The Provider continuously develops allverto further. It may change, supplement or replace functions insofar as this serves technical progress, security, changed legal requirements or changed third-party interfaces and does not materially restrict the contractually agreed core functions of the plan for the customer.
  2. If essential functions are discontinued, the Provider informs the customer in text form in good time beforehand. In this case, the customer may terminate the contract for cause with effect from the time of the change.
  3. The Provider may discontinue free additional services at any time.

11. Obligations of the customer

  1. The customer keeps its access data secret, protects it against access by third parties and informs the Provider without delay if it suspects misuse. It grants rights to its users only to the extent necessary. The Provider recommends two-factor sign-in for all users.
  2. The customer is responsible for all actions carried out via its users’ accounts, insofar as it is responsible for them.
  3. The customer uses allverto only within the framework of applicable law. It does not store unlawful content and does not infringe the rights of third parties, in particular copyrights, trademark rights and personal rights.
  4. The customer refrains from anything that endangers the operation of allverto or the data of other customers, in particular attempts to circumvent protection mechanisms, automated mass queries outside the documented interfaces, and the introduction of malware.
  5. The customer checks the documents, labels, reports and accounting data created by allverto on its own responsibility before using them and ensures that its settings (e.g. tax rates, number ranges, POS and TSE reports) comply with its legal obligations.
  6. The customer reports faults and defects without delay by email, describing them as precisely as possible, so that the Provider can reproduce and remedy them.

12. Interfaces to third-party services

  1. allverto offers interfaces to third-party services such as online shops, marketplaces, shipping carriers, banks, payment providers, email providers and TSE providers. The use of these services requires the customer’s own contracts with the respective providers; their terms and fees apply in addition.
  2. The customer sets up and enables the interfaces itself. Data is only transmitted to the third party on its behalf and to the extent of the respective function.
  3. The Provider has no influence on the availability, changes and discontinuation of third-party interfaces. It adapts allverto to changed interfaces with reasonable effort but does not owe the permanent availability of a particular connection.

13. Customer data, data export and end of contract

  1. All data that the customer enters or retrieves in allverto remains the customer’s data. The Provider uses it only to provide the contractual services.
  2. During the term of the contract, the customer can export its data at any time using the export functions of the application, in particular as CSV files, documents as PDF and accounting data in DATEV format.
  3. Once the termination takes effect, it is no longer possible to sign in. The customer is therefore itself responsible for exporting its data in good time before the end of the contract, in particular insofar as it needs it for statutory retention obligations (e.g. GoBD).
  4. After the end of the contract, the Provider deletes the customer’s data in accordance with the data processing agreement, unless statutory retention obligations of the Provider prevent this. Backups are overwritten within their regular retention period.

14. Data protection and data processing

  1. Insofar as the Provider processes personal data on behalf of the customer in connection with the use of allverto, the customer is the controller and the Provider the processor within the meaning of Art. 28 GDPR. For this purpose, the parties conclude a data processing agreement (DPA), which the Provider makes available on request and which forms part of this contract.
  2. Otherwise, the Provider processes personal data in accordance with its privacy policy.

15. Suspension

  1. The Provider may temporarily suspend the customer’s access in whole or in part if
    • the customer is in default with the payment of a not insignificant amount despite a reminder and notice of the suspension,
    • there are concrete indications of unlawful use or a breach of Section 11, or
    • this is necessary to avert a danger to the security of allverto or the data of other customers.
  2. When suspending access, the Provider takes into account the legitimate interests of the customer, limits the suspension to the affected functions where possible and lifts it as soon as the reason no longer applies. The obligation to pay the agreed fees remains in place during a suspension for which the customer is responsible.

16. Liability

  1. The Provider is liable without limitation in the event of intent and gross negligence, injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee assumed.
  2. In the event of slight negligence, the Provider is only liable for the breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely (cardinal obligation). In this case, liability is limited to the foreseeable damage typical of the contract.
  3. Strict liability for defects that already existed at the time the contract was concluded (Section 536a (1), first alternative, BGB) is excluded.
  4. In the event of slight negligence, the Provider is liable for the loss of data only up to the amount of the effort required to restore it from the last backup.
  5. The Provider is not liable for the content, services and outages of third-party services that the customer connects via interfaces, or for the consequences of incorrect settings or entries made by the customer.
  6. The above limitations also apply in favour of the Provider’s legal representatives, employees and vicarious agents.

17. Changes to the Terms and prices

  1. The Provider may amend these Terms with effect for the future insofar as this is necessary due to changes in legislation or case law, technical developments or new functions and the balance between performance and consideration is not shifted to the customer’s disadvantage. The Provider notifies changes in text form at least six weeks before they take effect. If the customer does not object before they take effect, the changes are deemed accepted. The Provider specifically points out this consequence in the notification. In the event of an objection, either party may terminate the contract with effect from the date on which the change takes effect.
  2. Price changes apply to new contracts and plan changes from their publication in the price overview. For existing contracts, the price fixed at the time of purchase or the last plan change continues to apply. For an annual contract, the Provider may change the price for the next term if it notifies the change in text form at least six weeks before the end of the current term; the customer may then terminate up to the last day of the term with effect from the end of the term.

18. Final provisions

  1. If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Berlin. The Provider is also entitled to sue the customer at its general place of jurisdiction.
  2. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
  3. Declarations under this contract require text form (e.g. email), unless a stricter form is required by law. Terminations can also be declared via the application.
  4. Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
